2. Scope of Services

We offer the following services, subject to a mutually agreed proposal or contract:

  • Custom software development
  • Web and mobile app development
  • UI/UX design
  • Cloud integration & DevOps services
  • Dedicated developer/team hiring
  • Product strategy and consultation

Each project will have its own scope, deliverables, timeline, and payment structure, clearly defined before work begins.


3. Client Responsibilities

To ensure smooth collaboration, clients must:

  • Provide complete and accurate project requirements
  • Respond to communication in a timely manner
  • Supply necessary materials (e.g., brand assets, credentials)
  • Review and approve deliverables promptly

Delays in communication or materials may impact delivery timelines.


4. Payments & Fees

  • Payment terms, including milestones or retainers, are agreed upon prior to project start.
  • Invoices must be paid within the specified period (typically 7–15 days).
  • Late payments may result in delayed delivery or project suspension.
  • All fees are non-refundable unless stated otherwise in the agreement.

We accept payments via bank transfer, online gateways, or other approved methods.


5. Intellectual Property

  • Client Ownership: Upon full payment, the client will own all final deliverables created specifically for them.
  • Coderfleek IP: Tools, libraries, frameworks, or processes developed by Coderfleek remain our intellectual property.
  • Portfolio Rights: We reserve the right to showcase non-confidential work in our portfolio or marketing materials.

6. Confidentiality

Both parties agree to keep all confidential information, source code, trade secrets, and proprietary business details private unless disclosure is required by law or agreed upon in writing.


7. Revisions & Changes

Minor revisions are usually included as part of the project scope. Major changes or requests outside the original scope may incur additional costs and timeline extensions.

All scope changes must be agreed to in writing.


8. Warranties & Limitations

  • We strive to deliver high-quality, bug-free solutions. However, we do not guarantee the software will be error-free in all environments.
  • Coderfleek is not liable for indirect, incidental, or consequential damages.
  • Liability for any claim is limited to the total fees paid by the client for the project in question.

9. Termination

Either party may terminate the project agreement with written notice if:

  • The other party breaches the terms
  • There is a failure to deliver/communicate for a defined period (typically 14–30 days)

Upon termination, any unpaid work completed must be compensated. Source files or access will be handed over based on the payment status.


10. Third-Party Tools & Services

If your project involves third-party platforms (e.g., AWS, Google APIs, plugins), you must comply with their terms. Coderfleek is not responsible for third-party outages, pricing, or restrictions.


11. Governing Law

These Terms are governed by the laws of Bangladesh, and any disputes will be resolved under its jurisdiction, unless otherwise stated in the project agreement.


12. Updates to These Terms

We may update these Terms from time to time. The latest version will always be available on our website. Continued use of our services means you accept any revised terms.
